Distance Sales Agreement

1. Parties

Buyer: The teacher/institution purchasing a Platform subscription, student slots, AI tokens and/or other paid platform services announced on the Platform (e.g. additional storage quota, the Featured badge) from the Seller through aprindo.com (the "Buyer"). The information declared by the Buyer at sign-up is taken as the basis.

2. Subject

This agreement sets out the rights and obligations of the parties, pursuant to the Turkish Consumer Protection Law No. 6502 and the Turkish Distance Contracts Regulation, regarding the sale and performance of the digital services (Platform subscription, additional student slots, AI tokens and other paid platform services announced on the Platform) purchased through the cloud-based education platform offered by the Seller at aprindo.com.

Out of scope: Courses that teachers sell in their own name or offer free of charge through the Platform, and teacher–student lesson fees, are not covered by this agreement. The seller in these sales is the relevant teacher; the Seller is not a party to them (see Section 7).

3. Characteristics and Price of the Service

• Use of the Platform is currently free of charge: no fee is charged for panel setup, the teacher's dedicated domain, the student study environment, hosting, SSL or updates; there is no subscription fee or trial period.
• At sign-up, the Buyer is granted 10 student slots free of charge and — in the account of a Buyer who selected the foreign language field — starter AI tokens. AI tokens are sold only to Buyers who selected the foreign language field.
• The paid services are: (i) additional student slots — a one-time purchase, and the purchased slots remain in the account permanently; (ii) AI tokens — digital credits consumed as content is generated, which may be repurchased at will. Purchasing these services is not mandatory.
• The Seller reserves the right to make use of the Platform subject to a fee in the future. In that case, the change will be announced in advance and registered Buyers will be given a transition period; student slots and AI tokens already purchased will not be affected.
• Use of the Platform is always free of charge for students; no fee is collected from students.
• Current prices, including VAT, are published at aprindo.com and in the Buyer's panel; the price at the time of purchase applies.
• Payment is made only by credit/debit card through a payment institution; payments by bank transfer/EFT are not accepted.
• Purchases of student slots and AI tokens are one-time purchases; no purchase is subject to automatic renewal or recurring charges.
• The Seller reserves the right to change the pricing model for use of the Platform with prospective effect. Any such change will be announced to the Buyer reasonably in advance and will apply only to the period following the announcement; student slots and AI tokens previously purchased by the Buyer will not be affected by the change.

4. Performance (Delivery)

The service is performed digitally: following verification of payment, the purchased subscription period, student slots or AI tokens are credited to the Buyer's account immediately (within 24 hours at the latest). The subscription starts as soon as it is credited and is provided without interruption throughout the purchased period. There is no physical delivery.

5. Right of Withdrawal

The Buyer has the right to withdraw without giving any reason within 14 days, before performance of the service has begun. For digital services performed instantly in electronic form, the right of withdrawal cannot be exercised if performance has begun with the Buyer's consent, pursuant to Article 15(1)(ğ) of the Turkish Distance Contracts Regulation. Nevertheless, the Seller offers an unconditional refund to a Buyer who is not satisfied with the service within 14 days following payment (see Delivery and Refund Terms).

6. Account Continuity and Termination

• As long as use of the Platform is free of charge, no periodic payment is required for the account to remain active; the teacher panel stays open unless the account is closed.
• Purchased student slots remain in the account permanently and do not turn into a periodic fee. AI tokens are consumed as content is generated; running out of tokens does not prevent the use of other functions.
• The Buyer may terminate the agreement at any time by closing their account.
• Upon termination, the Buyer's data will, at the Buyer's request, be handed over or permanently deleted.

7. Teachers' Course Sales (Out of Scope)

• The Seller enables teachers to publish and sell online courses they have prepared themselves through the Platform. In these sales, the owner, seller and service provider of the course is the relevant teacher. The Seller is only an intermediary service provider supplying the technical infrastructure within the meaning of Turkish Law No. 6563 on the Regulation of Electronic Commerce.
• The course fee is paid by the purchaser directly to the teacher's bank account. The Seller does not collect the course fee, does not act as a payment intermediary and receives no commission or fee from course sales.
• Pre-contractual information, the contract, the right of withdrawal, refunds, invoicing, access and content obligations relating to a course sale, and all requests concerning the course, rest with the teacher selling the course and are addressed directly to the teacher. Course purchases are not subject to the withdrawal and refund terms of this agreement.

8. Force Majeure

In cases of force majeure beyond the control of the parties, such as natural disasters, fire, epidemics, cyberattacks, infrastructure/data center outages or decisions of public authorities, performance of the obligations is suspended for the duration of such event and the parties cannot be held liable to each other.

9. Disputes

Within the monetary limits announced by the Turkish Ministry of Trade, the Consumer Arbitration Committees and Consumer Courts at the Buyer's place of residence have jurisdiction over disputes.

By completing the purchase, the Buyer declares that they have read and accepted this agreement.
