User (Membership) Agreement
1. Parties and Subject
This User Agreement is entered into between CND EDUTECH EĞİTİM TEKNOLOJİLERİ ANONİM ŞİRKETİ (aprindo.com — "Aprindo" or the "Platform"), on the one hand, and the natural or legal person who becomes a member of the Platform (the "User"), on the other, for the purpose of setting out the terms of use of the services offered by the Platform. By becoming a member, the User declares that they have read and accepted this agreement in its entirety.
2. Definitions
- Teacher: A user who, regardless of the subject they teach (e.g. foreign languages, mathematics, music, sports, personal development), creates a panel and a public web profile under their own brand on the Platform, adds students and prepares content.
- Student: A user who works on the Platform through an account created by a Teacher, and a user who opens their own account in the Tutors & Coaches / courses directory.
- Course: An online training, paid or free, consisting of videos, documents and similar content, that a Teacher publishes on the Platform in their own name. Courses may be listed in the course directory and on the Teacher's profile.
- Service: All functions offered by the Platform, including the Teacher's web profile, listing in the Tutors & Coaches directory, student management, lesson planning, payment request tracking and the course publishing infrastructure. Individual study materials, the assignment system, AI-assisted content generation and AI tokens are offered only to Teachers who selected the foreign language field at sign-up.
- Tutors & Coaches: The Platform's public tutor directory, where students can find a Teacher by subject and send a lesson request. A Teacher whose profile is sufficiently complete is listed by default; the Teacher may turn off the listing from their panel.
3. Membership and Account
- Membership is established by completing the sign-up form with accurate and up-to-date information. The User is responsible for the accuracy of the information they provide.
- The User is responsible for the security of their account (username/password). A User who notices unauthorized use of their account shall immediately notify info@aprindo.com.
- The Teacher is responsible for the accounts they create for their students and for the lawfulness of the content they share.
4. Rights and Obligations of the Parties
- The User undertakes to use the Platform in compliance with applicable legislation, public morality and this agreement.
- The User agrees not to run any software or perform any action that may harm the Platform, not to infringe the rights of others and not to upload content without authorization.
- Aprindo may update and maintain the system to improve service quality, and will make reasonable efforts to announce planned maintenance in advance.
- Aprindo reserves the right to suspend or terminate an account in the event of use contrary to this agreement.
5. Fees
- Use of the Platform is currently free of charge; there is no subscription fee, trial period or recurring charge. At sign-up, 10 student slots and starter AI tokens are granted free of charge.
- The paid services are: (i) additional student slots — a one-time purchase; (ii) AI tokens (only for foreign language Teachers). Both are optional and at the Teacher's discretion.
- Aprindo reserves the right to make use of the Platform subject to a fee in the future. In that case, the change will be announced in advance and the Teacher will be given a transition period; student slots and AI tokens already purchased will not be affected.
- Payments to Aprindo are made only by the Teacher, at the current published prices, by credit/debit card through a payment institution; payments to Aprindo by bank transfer/EFT are not accepted. Use of the Platform is always free of charge for Students; course and lesson fees that a Student pays for courses or lessons bought from a Teacher are paid directly to the Teacher, not to Aprindo (see Section 6).
- Aprindo reserves the right to change the pricing model for use of the Platform with prospective effect. Any such change will be announced to the Teacher reasonably in advance and will apply only to the period following the announcement; student slots and AI tokens purchased beforehand will not be affected by the change.
- Pricing, cancellation, refund and delivery terms for Aprindo's own platform services are governed by the Distance Sales Agreement and the Delivery and Refund Terms. Courses sold by Teachers are outside the scope of these documents.
6. Course Sales and Aprindo's Position as an Intermediary Service Provider
This section concerns the paid or free courses that Teachers offer through the Platform and is binding on both Teachers and Students.
6.1. Parties to the sale
- A course sale is concluded directly between the Student purchasing the course and the Teacher who published it. The seller and service provider of the course is the Teacher.
- With respect to courses, Aprindo is only an intermediary service provider within the meaning of Turkish Law No. 6563 on the Regulation of Electronic Commerce, supplying the infrastructure for publishing the course, forwarding the order and receipt to the Teacher and technically providing access, and a hosting provider within the meaning of Law No. 5651. Aprindo is not a party to, seller of or provider of the course sale, and does not offer any payment service intermediating the collection of the course fee.
- The course fee is paid by the Student directly to the Teacher's bank account. Aprindo does not collect the course fee, has no rights over it and receives no fee from course sales, whether as commission, service fee or under any other name. Platform services that Aprindo separately sells to the Teacher (e.g. additional storage quota) are independent of this.
- For free courses and courses that the Teacher assigns to their own students from the panel, the Teacher is likewise the provider of and responsible party for the course.
6.2. Responsibility for courses
- The content, accuracy, currency, quality and compliance with law and intellectual property rights of the course; the description, price and access period shown on the course page; approval or rejection of payment; granting, maintaining and revoking access; refunds, the right of withdrawal, invoicing and tax obligations; payment disputes; and all other requests and complaints relating to the course are the sole responsibility of the Teacher.
- Course videos may be delivered through third-party hosting services such as YouTube or Vimeo. Aprindo is not responsible for problems arising from outages, removals, access restrictions or the terms of use of these services; keeping the content accessible is the Teacher's responsibility.
- To the maximum extent permitted by law, Aprindo is not liable for, and accepts no responsibility for, any direct or indirect damage arising from courses or course sales. This limitation does not cover Aprindo's liability arising from its own intent or gross negligence.
6.3. The Teacher's acknowledgements and undertakings
- The Teacher expressly accepts the provisions of 6.1 and 6.2 and that all responsibility arising from their courses, course sales and relationship with Students rests with them.
- The Teacher warrants that they hold all necessary rights and permissions to all content they upload or link (videos, documents, images, music, text, etc.) and that the content does not infringe the rights of third parties or applicable legislation.
- In course sales, the Teacher fulfils, in their own name and for their own account, the seller/provider obligations arising from Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation (providing identity and contact details, pre-contractual information, the distance contract and its confirmation, the right of withdrawal and refunds).
- 14-day right of withdrawal: The Student has the right to withdraw from a paid course purchase without giving any reason and without penalty within 14 days from the date on which the Teacher approves the order and access is granted. On the Platform, the digital content exception in Art. 15(1)(ğ) of the Distance Contracts Regulation does not apply to this right; the Teacher may not refuse a refund on the ground that the Student has started watching the course. The Teacher must refund the full course fee collected, without deductions, to the account from which payment was made or to an account notified by the Student, within 14 days at the latest from the date the withdrawal notice reaches the Teacher; the costs of the refund are borne by the Teacher. Once the refund is complete, the Teacher may revoke access to the course.
- The Teacher fulfils the obligations to issue an invoice or freelance receipt for the course fee and all tax obligations. Aprindo does not issue invoices for course sales.
- The Teacher keeps the course accessible throughout the access period they have announced. If the Teacher unpublishes the course, revokes access before the end of the period or closes their account, any refund and other obligations towards Students who have paid rest with the Teacher.
- The Teacher reviews uploaded receipts within a reasonable time and approves the payment or rejects it with a reason; liability for failing to approve a payment that has reached their account rests with the Teacher.
- The Teacher processes the Student personal data forwarded to them with a course order as a separate data controller in accordance with Law No. 6698, and uses this data solely for fulfilling the order, invoicing and course-related communication.
- Recourse and indemnity: If claims are brought against Aprindo by Students, third parties or public authorities because of the Teacher's courses, course sales or breach of the undertakings in this section, the Teacher shall hold Aprindo harmless from such claims and shall pay, upon Aprindo's first written request, any compensation, administrative fines, litigation costs and reasonable attorney's fees that Aprindo is obliged to pay. Aprindo will notify the Teacher of such a claim within a reasonable time.
6.4. Information to and acknowledgement by the Student
- When purchasing a course, the Student declares that they know and accept that the seller and their counterparty is the Teacher, that the fee is paid directly to the Teacher, that Aprindo is not a party to the sale and that Aprindo receives no share of the course fee.
- The Student has the right to withdraw from a paid course purchase without giving any reason within 14 days from the date the order is approved and access is granted, and sends the withdrawal notice to the Teacher by email or other written means. If the Student cannot reach the Teacher, the notice may be sent to info@aprindo.com; Aprindo forwards it to the Teacher, but doing so does not make Aprindo a party to the sale or liable for the refund. The fee is refunded by the Teacher within 14 days of the notice.
- The Student addresses all requests concerning refunds, withdrawal, invoices, access, content and payment directly to the Teacher. The Student's statutory rights under consumer legislation against the Teacher as seller/provider are reserved.
- The Student makes payment only to the Teacher account shown on the order page and with the reference code provided. Payments and arrangements made outside the Platform are not binding on Aprindo.
6.5. Aprindo's rights over content
- Pursuant to Article 9 of Law No. 6563 and Article 5 of Law No. 5651, Aprindo is under no obligation to check course content in advance or to investigate whether it is unlawful.
- Where Aprindo becomes aware, through a "Report course" notice or otherwise, of content that is unlawful or contrary to this agreement, it may review it, remove it, block access to it or suspend the Teacher's account. Such action does not make Aprindo a party to the course sale and does not create any obligation to resolve payment or refund disputes between the Teacher and the Student.
6.6. Course completion certificate
- The course completion certificate is a completion document showing that the Student has completed the lessons of the relevant course on the Platform; it bears the name of the Teacher who offers the course and confirms the Platform's completion record.
- The certificate is not a diploma, certificate or qualification approved by the Turkish Ministry of National Education, the Council of Higher Education, the Vocational Qualifications Authority or any other official or accredited body, and does not mean that Aprindo has assessed the course content or the Student's competence. The Teacher may not present their course or the certificate in a way that suggests an official document.
7. Intellectual Property Rights
All rights to the Platform's software, design, trademark and content belong to Aprindo. Lesson and course content created by a Teacher belongs to the Teacher; the Teacher grants Aprindo a non-exclusive right of use, limited to the term of membership, necessary for such content to be hosted, made available and promoted on the Platform. The User may not copy, reproduce, share or commercially use the Platform's content or purchased courses without permission.
8. Limitation of Liability
Aprindo provides the service "as is" and does not guarantee that it will be uninterrupted. Aprindo cannot be held liable for damages arising from force majeure, outages of third-party infrastructure or errors caused by the User. To the maximum extent permitted by law, Aprindo's total liability is limited to the total amount paid by the User to Aprindo in the last 12 months. The limitations of liability in this section and in Section 6 do not exclude Aprindo's liability for intent or gross negligence (Turkish Code of Obligations No. 6098, Art. 115) or the rights of Users who are consumers under mandatory legislation.
9. Privacy and Personal Data
The processing of personal data is governed by the Privacy Policy and KVKK Privacy Notice, and the use of cookies by the Cookie Policy. These documents form an integral part of this agreement.
WhatsApp notifications: When entering a student's or parent's WhatsApp number on the Platform, the Teacher declares that the person concerned (for students under 18, their parent) has agreed to receive lesson reminders via WhatsApp, and is responsible for obtaining this consent. Aprindo sends only informational messages (lesson reminders, scheduling, assignments, payment requests, question replies, etc.) to consented numbers; recipients can stop them at any time using "Stop notifications" or by replying STOP. The sign-up verification code and platform notifications are sent to the Teacher's own number entered at sign-up or on their profile.
10. Term and Termination
- This agreement remains in force for the duration of the membership. As long as use of the Platform is free of charge, the right of use does not depend on any periodic payment. The User may terminate the agreement at any time by closing their account.
- Upon termination, the User's data will, upon request, be handed over or permanently deleted.
- If a Teacher account is closed, suspended or deleted, the Teacher's courses are also unpublished; obligations towards Students who have paid rest with the Teacher under Section 6.3.
11. Dispute Resolution and Entry into Force
This agreement is governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Ankara have jurisdiction over any disputes; however, for Users who are consumers, the Consumer Arbitration Committees and Consumer Courts have jurisdiction within the monetary limits announced under Law No. 6502. The agreement enters into force when the User confirms their membership. For questions: info@aprindo.com.
